1. Who we are

SponsorIt is operated by Host Marketing, LLC ("SponsorIt", "we", "us", "our"). By accessing or using SponsorIt, you ("you", "user") agree to these Terms & Conditions ("Terms"). If you do not agree, do not use the service.

2. The Service

SponsorIt is a software platform that helps small businesses receive, organize, qualify, and respond to sponsorship and donation requests, including AI-assisted qualification, budget tracking, and respectful auto-replies.

3. Account & authority

You must be of legal age and, if signing up on behalf of a business, have authority to bind that business. You are responsible for keeping your credentials secure and for all activity under your account. You agree to provide accurate information and keep it up to date.

4. Acceptable use

You agree not to misuse the Service. In particular, you will not: (a) use it for unlawful purposes, fraud, or spam; (b) infringe intellectual property or privacy rights; (c) interfere with security, including by introducing malware, probing, or scraping; (d) attempt to reverse engineer, resell, or redistribute the Service; or (e) circumvent technical limits.

5. AI features

SponsorIt uses AI models to help qualify sponsorship requests and draft replies. AI outputs may be inaccurate or incomplete and are not a substitute for human judgment, legal advice, or any regulated professional advice. You are responsible for your prompts, for reviewing and approving any AI-generated content before sending, and for ensuring you have the rights to any content you submit. We may filter, refuse, or remove content that violates these Terms or applicable law.

6. Intellectual property

The Service, including software, documentation, and branding, is owned by Host Marketing, LLC and its licensors. We grant you a limited, non-exclusive, non-transferable right to use the Service within your selected plan. You retain ownership of content you submit, and grant us a limited license to host and process it solely to provide the Service.

7. Payments, billing, and refunds

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, tax, cancellation, and refund mechanics are governed by Paddle's Buyer Terms and our Refund Policy.

8. Service availability

We work to keep SponsorIt available and reliable, but we do not guarantee uninterrupted or error-free performance.

9. Suspension and termination

We may suspend or terminate your access for material breach of these Terms, non-payment, security or fraud risk, or repeated or serious policy violations. On termination, your right to use the Service ends. We will provide a reasonable window to export your data before deletion where feasible.

10. Warranties and liability

To the fullest extent permitted by law, the Service is provided "as is" and we disclaim all implied warranties, including merchantability and fitness for a particular purpose. Our aggregate liability arising out of or relating to the Service is capped at the fees you paid us in the 12 months preceding the claim. We are not liable for indirect, consequential, or special damages, including loss of profits, data, or goodwill. Nothing in these Terms excludes liability that cannot be excluded by law (e.g. fraud, death, or personal injury caused by negligence).

11. Indemnity

You agree to indemnify Host Marketing, LLC against claims arising from your content, your unlawful use of the Service, or your breach of these Terms.

12. Governing law

These Terms are governed by the laws of the State of Louisiana, United States, without regard to conflict-of-law rules. Disputes will be resolved in the state or federal courts located in Louisiana.

13. Changes

We may update these Terms from time to time. Material changes will be communicated through the Service. Continued use after changes take effect constitutes acceptance.
